Terms and conditions
1. These terms
These terms govern access to this website and to the Auditwyse platform provided by Optywise (“we”, “us”). Where a customer has signed a separate written agreement with us for Auditwyse, that agreement takes precedence over these terms to the extent of any conflict.
2. What Auditwyse is
Auditwyse reads policy and evidence documents, maps obligations onto control framework criteria, and produces control assessments with citations to the source passages. It is intended to be used by qualified compliance and audit professionals as part of their own work.
3. Auditwyse is not an audit opinion
This section matters more than any other in these terms, so it is stated plainly.
Auditwyse output is drafting and evidencing support. It is not an audit opinion, not a certification, not legal advice, and not a determination that any organisation complies with any law, standard or framework. Responsibility for forming an opinion, for the sufficiency of evidence, and for any filing, certification or representation made to a regulator, auditor or customer remains entirely with you and with the qualified professionals you engage. You must review Auditwyse output before relying on it.
4. Development status
Auditwyse is in active development and is not generally available. Where access is provided before general release, it is provided for evaluation. Functionality may change, and the service may be interrupted or withdrawn. Pre-release access carries no availability commitment unless one is given in a signed agreement.
5. Your responsibilities
- You must have the right to upload the documents you provide, and to have them processed as described in the privacy policy.
- You must keep access credentials secure, and you are responsible for activity carried out under your account.
- You must not use Auditwyse to process data you are prohibited from disclosing to us, or in breach of any law or third-party right.
- You must not attempt to reverse engineer the platform, circumvent its access controls, or use it to build a competing product.
6. Your content
You keep ownership of the documents and evidence you upload and of the assessment output derived from them. You grant us a limited licence to host, process and analyse that content for the purpose of providing the service to you, and for no other purpose. We do not use your content to train models for other customers.
7. Our intellectual property
We keep ownership of the Auditwyse platform, its interfaces, its control model, and all associated intellectual property. Nothing in these terms transfers any of it to you.
8. Confidentiality
Each party will keep the other's confidential information in confidence and use it only as needed to perform under these terms. This does not apply to information that is public through no fault of the receiving party, was already lawfully held, or must be disclosed by law.
9. Warranties
We provide the service with reasonable skill and care. Beyond that, and to the extent permitted by law, the service is provided as is. We do not warrant that output will be complete, that it will identify every deficiency, or that it will satisfy any particular auditor, regulator or standard.
10. Liability
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
Subject to that, we are not liable for loss of profit, loss of business, loss of goodwill, or indirect or consequential loss, and our total liability arising out of or in connection with these terms is limited to the fees paid by you for Auditwyse in the twelve months before the claim arose.
11. Term and termination
Either party may terminate for material breach that is not remedied within 30 days of written notice. On termination your access ends and your content is dealt with as set out in the privacy policy.
12. Changes to these terms
We may update these terms. Where a change is material we will give notice before it takes effect, and the effective date above will be updated.
13. Governing law
These terms are governed by the laws of India, and the courts of Pune, Maharashtra have exclusive jurisdiction.
